NTN Strengthens Corporate Compliance on Laws, Internal Rules and Ethical Norms

NTN Corporation recently implemented sweeping revisions in its conventional "Corporate Conduct Guidelines," "Employee Conduct Guidelines" and "Business Code of Conduct." To enhance thorough corporate compliance on the part of all directors and employees throughout the NTN Group, the "(New) Business Code of Conduct," a document comprised of 25 categories, was drawn up to stipulate the fundamental criteria of business conduct for all business activity.

NTN is redoubling its efforts to adhere to standards of corporate compliance, thereby increasing its ability to emerge as a genuine global corporation capable of sustaining consistently solid growth in the world marketplace.

Enhancing the Compliance Promotion System

• Implementation of "Corporate Ethic (Compliance) Control Regulation."
• Designation of the "Director in Charge of the Legal Department" as the coordinating executive and "Legal Department" as the promotion division, and appointment of "Compliance Managers" in each domestic group company.
• Reorganization of the Corporate Conduct Ethics Committee into the "Corporate Ethics Committee," while increasing the membership of that committee to 8 persons from the former 3 to support activities from a broader perspective.

Establishing a "Help Line"

A "Help Line" (In-house consultation contact point: Legal Department, external consultation contact point: a law firm) was established for all directors and employees of NTN group companies in Japan as a route for direct inquiries, consultations, reports and other contacts with the Corporate Ethics Committee in cases when consultations along the normal organizational lines prove difficult.

Attaining Group-Wide Familiarity with the "Business Code of Conduct"

• Distribution of "cards" printed with the "Business Code of Conduct" and the "Business Code of Conduct Guidebook" with easy-to-understand explanations to all directors and employees at NTN Corporation and its domestic group companies.
• Distribution of English-language editions of the "Business Code of Conduct Guidebook" to overseas group companies, together with support for the establishment of compliance systems that closely reflect the specific conditions and situations in each country.
